TIMPANI BEATZ — DIGITAL MUSIC PRODUCT LICENSING TERMS
Published: 23 October 2026
1. ABOUT THESE TERMS AND THE MATERIALS
These Licensing Terms govern the digital music production materials supplied by Timpani Beatz under an offer that incorporates these Terms (the “Materials”). They cover paid Loop Kits, Free Loop Kits, Multi-Kits, individual samples, presets, drum sounds and one-shots, sound effects, and future digital sound products. The rules depend on the material used, not the product's name or packaging.
“Timpani Beatz” is the brand and licensor designation used in these Terms. “We”, “us” and “our” refer to Timpani Beatz. “You” means the individual or entity acquiring the licence. The source-material licence is personal to that buyer.
The applicable product offer, order or download confirmation, and supplied file list identify the Materials licensed to you. These Terms apply only where provided and validly incorporated into your agreement. Each acquisition covers the identified Materials supplied with it. Future products can use the same framework when acquired under these Terms, subject to clearly disclosed exceptions under Section 2.
“Finished Music” means an original musical composition and/or sound recording you create by incorporating licensed Materials into a new musical production. It does not mean source sounds offered separately, or a substantially unmodified source file presented as a competing sound product.
2. PRODUCT-SPECIFIC AGREEMENTS AND EXISTING RIGHTS
An express product-specific exception disclosed before acquisition, or a separately accepted written project agreement, takes precedence over these general Terms to the extent of a conflict concerning the identified product, material or project. An exception must identify what it affects and make the different permissions or obligations clear. A condition first supplied after purchase cannot silently narrow an already granted licence.
These Terms do not retrospectively withdraw, reduce or replace rights granted under an earlier valid licence, clearance or other binding agreement. This includes broader commercial rights previously granted with a free download. A later website update does not, by itself, amend an existing agreement or impose a new publishing percentage on an earlier acquisition.
Keep your order or download confirmation, the applicable terms, and any written clearances or split agreements. Price, including a zero price, does not itself establish royalty-free status or unrestricted use.
3. LIMITED LICENCE AND PERMITTED MUSIC USE
Subject to the applicable material category in Section 8, we grant you a limited, non-exclusive licence to copy, edit, arrange and incorporate the Materials into Finished Music. The licence covers our relevant rights in both the musical content and supplied source recordings, only to the extent we own or are authorised to license those rights.
For paid and free melodic Materials, and other Materials carrying commercial permission under Section 8, you may create and commercially release beats, instrumentals and songs, including selling music releases, downloads, streaming and public performance, while meeting the applicable publishing and clearance requirements. Paid and Free Loop Kits carry the same commercial music usage permissions; their acquisition price is the difference, not a waiver of licensing obligations. No separate approval from us is required for an ordinary independent release that complies with these Terms. Publishing coordination under Section 6 is still required where applicable. Separate permission remains necessary for major placements or independently controlled third-party rights, as applicable.
You may authorise artists, labels, distributors and music services to reproduce, distribute, stream, perform and otherwise exploit compliant Finished Music as music releases. That permission is limited to the Finished Music concerned. It does not give those parties a reusable source-material licence or permission to use the Materials in other projects. Major placements remain subject to Section 7.
The source-material licence is non-transferable and may not be assigned or sublicensed without our express written permission, except for the limited Finished Music permissions above, project access under Section 10, and rights that applicable law requires us to preserve.
The acquisition price is not a copyright buyout and does not discharge applicable publishing obligations. Our melodic loops are NOT royalty-free. Mixed products do not carry one blanket royalty-free permission for all their contents.
Acquiring a licence does not guarantee artist or major-label placements, streaming revenue, industry opportunities or commercial success, and does not limit any rights or remedies that applicable law requires us to preserve.
4. OWNERSHIP AND THIRD-PARTY RIGHTS
Timpani Beatz, applicable collaborators and other rights holders retain their respective rights in the Materials. Purchasing or downloading a product does not transfer copyright ownership. We do not claim exclusive ownership of collaborative contributions or ownership of third-party sounds we do not own or control.
Where protected by applicable law, those retained rights include rights in original melodies, samples, drum recordings, preset content, sound libraries and their original selection or arrangement. These Terms do not create copyright in an otherwise unprotected element.
We license only rights we own or are authorised to license. Any required permission for a separately controlled third-party composition, recording, performance, software or other protected content remains necessary. Relevant product-specific restrictions must be disclosed under Section 2; the absence of authority cannot be cured by calling a product royalty-free.
Your original contributions remain subject to your rights and agreements with your collaborators. Incorporating Materials does not give you exclusive rights in those Materials or a right to prevent other authorised customers from using them lawfully.
Content ID and automated rights claims
The Materials are licensed non-exclusively, and other customers may lawfully use the same Materials in different Finished Music. You must not register, claim or administer the original Materials through YouTube Content ID, automated copyright detection, digital fingerprinting or similar rights-management systems in a way that claims exclusive ownership of those Materials or creates unauthorised claims against Timpani Beatz or other legitimate licensees.
You may register eligible Finished Music with such services only where you possess the necessary rights and comply with the platform's applicable requirements. Registration must not claim exclusive ownership of the underlying non-exclusive Materials. These Terms do not guarantee that every finished recording incorporating the Materials is eligible for Content ID or any similar system.
You must not knowingly issue unauthorised copyright claims, or use automated systems to interfere with lawful use of the Materials by Timpani Beatz or other legitimate licensees. Where you control an improper claim, you must reasonably cooperate without undue delay to withdraw or correct it. This does not restrict legitimate enforcement of rights you independently own in your original contributions or Finished Music, as distinct from the underlying non-exclusive Materials.
5. STANDARD PUBLISHING MODEL FOR INDEPENDENT RELEASES
For ordinary independent commercial releases using licensed melodic Materials, the standard contractual model allocates 50% of total composition publishing to the participating producer parties, divided equally among those parties, unless a valid written agreement provides otherwise.
Timpani Beatz counts as ONE producer party, even though the duo consists of two individual producers. Other parties may include a loop collaborator and the producer developing the beat. Identify the actual creative producer parties involved in the composition. A party is not counted twice merely for supplying several files or performing several roles. Technical assistance alone does not automatically add a producer party.
Formula:
Timpani Beatz publishing share = 50% / N
N is the total number of participating producer parties, INCLUDING Timpani Beatz.
Examples:
- Timpani Beatz + beat producer: N = 2; Timpani Beatz receives 25% of total composition publishing.
- Timpani Beatz + one loop collaborator + beat producer: N = 3; Timpani Beatz receives 16 2/3% of total composition publishing (approximately 16.67%).
- Timpani Beatz + two loop collaborators + beat producer: N = 4; Timpani Beatz receives 12.5% of total composition publishing.
All these percentages are measured against 100% of the entire composition, not against another 50% base. Use exact fractions where needed to prevent rounding errors.
This is a contractual licensing model, not a universal industry rule or an automatic statutory allocation. It does not determine authorship or bind an unrelated writer, collaborator or other rights holder without agreement or authority. Adding a nominal party does not override existing rights or agreed shares.
The remaining 50% is not automatically assigned to a vocalist, artist, buyer or any other person. Its allocation must be agreed by the relevant writers and rights holders so that the complete composition is accounted for. Instrumental compositions also require a complete allocation; the absence of a vocalist does not make that remaining half disappear or automatically double the example shares.
The model applies to melodic material as described in Section 8. It does not impose publishing shares solely for use of the drum, preset and sound-effect categories described there, and does not automatically apply to major placements.
6. FINAL SPLITS, ROYALTIES AND CREDITS
When preparing an independent commercial release using licensed melodic Materials, you must contact Timpani Beatz at the email address in Section 13 to coordinate publishing splits, registrations and relevant credits. Provide:
- The artist name.
- The track title.
- The names of the participating producers.
- Identification of the licensed Timpani Beatz material used.
- Expected release information, where available.
This contact is to coordinate publishing splits and credits, not a separate request for discretionary approval of an otherwise compliant ordinary independent release. It applies equally to melodic Materials acquired through Paid and Free Loop Kits. It is distinct from the prior written major-placement clearance required by Section 7.
Document the composition's contributors and final publishing allocations in a split sheet, publishing agreement or other written agreement accepted by the relevant parties. A valid written agreement may override the standard model. A departure affecting our rights or agreed share requires our written agreement; changes affecting another rights holder require that party's agreement or proper authority.
These Terms constitute our advance agreement to the standard model for a compliant ordinary independent release; no new signature from us is required solely to confirm that model. Documenting the split is not an additional requirement to obtain discretionary, case-by-case release approval from us. You must nevertheless identify the actual parties, respect their rights and meet the agreed publishing obligations. Where rights or a proposed departure remain unresolved, resolve that issue before relying on the proposed use.
Publishing concerns the musical composition. Master ownership and royalties concern the sound recording. A composition percentage is not a percentage of all recording revenue. These Terms do not establish an automatic master royalty percentage, producer advance, master ownership share or additional clearance fee. Any such commercial obligation must be expressly agreed separately, without overriding mandatory rights or an existing agreement.
You must ensure that the agreed publishing shares and relevant credits are correctly reflected in applicable split sheets, publishing registrations and other relevant rights documentation. Use the agreed rights-holder identities and do not knowingly submit incorrect shares. Make sure anyone authorised to exploit the Finished Music receives the information needed to honour those rights. Appropriate producer credits and their presentation should be recorded with the relevant parties. You cannot bind unrelated rights holders or grant rights on their behalf without authority. Agreed publishing obligations remain applicable.
7. MAJOR ARTIST & LABEL PLACEMENTS
If Finished Music incorporating the Materials is intended for release by a major artist, a major record label, a major-label affiliate, or as part of a project released, commissioned or controlled by a major-label entity, contact Timpani Beatz BEFORE release and obtain separate prior written clearance for the proposed use.
Purchasing a Loop Kit, Multi-Kit or another sound product does not automatically authorise a major placement. Standard independent-release publishing percentages do not automatically apply to it.
The relevant terms must be negotiated separately. They may include publishing splits, producer royalties, producer credits, sample clearances, master-related compensation and other commercial conditions. No major-placement royalty percentage, advance or fixed fee is established here.
Ordinary use of a digital distributor solely to deliver an independent release to music services does not, by itself, make that release a major placement, including where the distributor has a corporate relationship with a major label. A separate label, acquisition, commissioning or controlled-project arrangement may require clearance. These Terms do not establish a numerical fame, revenue or streaming threshold for “major artist”; ask us before committing if that classification is uncertain for a proposed project.
If a previously independent release is later proposed for major-label acquisition, reissue, licensing or exploitation, obtain separate written clearance BEFORE authorising or commencing that subsequent major use. Notify us promptly when such use is proposed, and do not represent that the original kit purchase clears it. You cannot commit an artist or label to terms on their behalf without authority.
This requirement does not retrospectively make a previously authorised independent release unlawful or rewrite a binding prior clearance. An unapproved major use does not become authorised merely because the music was originally released independently.
8. MATERIAL CATEGORIES, MULTI-KITS AND FREE LOOP KITS
The following rules apply to the Materials actually used, whether supplied in a kit or individually. A Multi-Kit is a collection of material categories, not a single universal publishing rule. The same category rules apply to relevant future digital sound products acquired under these Terms, unless a valid exception is disclosed under Section 2.
A. Melodic loops and melodic samples
Paid and Free Loop Kits, and separately supplied licensed melodic samples, may be used to create and commercially release Finished Music under Sections 3–7. They are not royalty-free. The standard publishing model applies to ordinary independent releases unless a valid written agreement provides otherwise. No separate permission is required for each compliant ordinary independent release; the publishing coordination procedure in Section 6 remains applicable.
B. Free Loop Kits
A Free Loop Kit download grants the same non-exclusive commercial music usage permissions as a Paid Loop Kit under these Terms. You may create and commercially release compliant Finished Music without purchasing a separate commercial licence solely because you obtained the Loop Kit free of charge.
Free does not mean royalty-free, public domain or unrestricted use, and a free download does not transfer copyright. The same applicable melodic publishing model, publishing coordination, copyright ownership, major-placement clearance and source-material restrictions apply. A free price does not eliminate publishing obligations.
Any valid previously granted rights or separately agreed written terms remain protected under Section 2. A zero price does not authorise new conditions to be imposed retrospectively.
C. Melodic material in Multi-Kits and other mixed products
Melodic loops, musical phrases, starters, MIDI and other files containing licensed melodic composition material follow the melodic publishing rules for commercial use. Classification depends on actual content, not just an extension or folder name. Rendering a melody from MIDI does not turn it into a drum one-shot. Whether a Loop Kit was acquired for payment or free of charge does not change those applicable rules.
D. Drum loops
You may incorporate licensed drum loops into original musical compositions and Finished Music, including commercial music releases, without an additional publishing share attributable solely to use of that drum-loop material. This permission does not clear separately included melodic or third-party material, or remove Section 7 major-placement clearance.
E. Drum one-shots and drum sounds
You may use licensed drum one-shots and drum sounds in original musical compositions and commercial Finished Music without an additional publishing share attributable solely to those sounds. A one-shot containing melodic composition material is not automatically covered by this drum permission merely because it is a short file.
F. Presets
You may use licensed presets to create original music, including commercial Finished Music, without an additional publishing share attributable solely to use of the preset. Buying a preset does not license the third-party plugin software or separately controlled sound content it requires. A supplied melodic phrase or loop remains subject to its own category even when used with a preset.
G. Sound effects
You may incorporate licensed sound effects into original musical compositions and commercial Finished Music without an additional publishing share attributable solely to use of the effect. A label such as “accent” does not remove publishing or clearance requirements where the file actually includes melodic or separately controlled protected material.
H. Other samples and future digital sound products
Apply the category matching the material's actual content. Future products do not require a new agreement merely because they have a new name or packaging. Material outside the permissions described here, or whose relevant category or rights are unclear, requires a clearly disclosed additional permission or written clarification before relying on a new commercial use. No permission is promised for rights we do not own or control.
All category permissions remain subject to the source-file restrictions, major-placement rules and applicable third-party rights. They do not permit resale of original sounds or redistribution of product archives. No entire Multi-Kit is automatically described or licensed as royalty-free.
9. NO STANDALONE RESALE OR REDISTRIBUTION
Except where an expressly accepted licence or mandatory law permits otherwise, you must not:
- Resell or redistribute original samples, loops, presets, sound files or product archives.
- Upload source Materials to public libraries, repositories, shared drives or download services for others to obtain.
- Share kits or source-file collections with unrelated users.
- Repackage the Materials into sample packs, preset banks, sound libraries or other reusable production assets.
- Sell an original loop separately as if it were your own source product.
- Grant third parties independent licences to reuse or redistribute the Materials.
- Distribute substantially unmodified source sounds as standalone competing products.
Editing, renaming or converting a source file does not turn a prohibited source-material product into Finished Music. These restrictions do not prohibit distributing compliant Finished Music under Section 3 or limited project sharing under Section 10.
10. LIMITED PROJECT SHARING
You may share only the Materials reasonably necessary with mixing engineers, mastering engineers, vocal producers and other collaborators working on a specific musical project, solely to complete that project.
Inform them of the restrictions and obtain their agreement to use those files only for that project. Their access gives them no independent right to reuse the Materials, share the kit, add the files to a common sound library, resell them or use them in unrelated work. Do not supply a whole kit where only particular project files are needed.
Project access does not settle a collaborator's authorship, publishing allocation or credit. Deal with those matters with the relevant rights holders. Necessary delivery of project files does not grant a general sublicence to the underlying Materials.
11. TERRITORY, DURATION AND TERMINATION
The licence is worldwide unless an applicable product-specific agreement validly establishes a different territory. It begins when the applicable agreement takes effect and the Materials are lawfully supplied, subject to any agreed payment condition, and continues for the remaining duration of the relevant licensed copyright and related rights, unless validly terminated under this Section or applicable law.
This duration does not remove the publishing, clearance or use conditions. The licence itself introduces no fixed stream or sales cap. Expiry of intellectual property rights does not revive restrictions on uses that applicable law permits without a licence.
Subject to applicable law, we may terminate the licence for affected Materials by written notice for a material breach, including unauthorised redistribution, unauthorised sublicensing, failure to obtain required major-placement clearance, or another serious licensing violation. The notice must identify the breach. Where it can be remedied, we must give a reasonable opportunity to remedy it before termination. A minor, promptly corrected administrative error is not automatically a material breach.
Where a serious breach cannot be remedied, termination may take effect by written notice to the extent permitted by law. We may require cessation of the specific unauthorised activity while it is addressed, where reasonably necessary to prevent continuing infringement or unauthorised distribution. This is not an unrestricted right to revoke a compliant licence at will.
Following valid termination, stop new use of the affected source Materials and any activity outside a surviving permission. Termination does not, by itself, revoke permission to continue exploiting Finished Music lawfully released before termination, provided that music and its continuing use remain within the original permission and all continuing publishing, payment and clearance obligations are met. No new source-material use or uncleared major exploitation is authorised by that survival rule.
Music that was never properly authorised does not receive this protection merely because it has been released. Specific unlawful use may remain subject to applicable remedies or a valid agreement or order. Termination does not erase accrued obligations, third-party rights or rights that cannot lawfully be terminated. Ownership, source-file restrictions, continuing obligations and provisions necessary to govern surviving Finished Music remain applicable to the extent lawful.
12. INTERNATIONAL CUSTOMERS, MANDATORY RIGHTS AND UPDATES
These Terms are intended for international use. They do not promise identical effect or universal enforceability in every jurisdiction. Nothing excludes rights or remedies that applicable consumer, copyright or other mandatory law does not allow the parties to exclude.
These Licensing Terms do not introduce an “all sales final” rule, amend a refund policy, impose a blanket waiver of statutory rights, or create a new exclusive court or arbitration requirement.
A future revision applies only where validly incorporated into the relevant agreement. A website update or a future product release does not silently amend an earlier licence. Section 2 continues to protect previously granted rights.
